Terms of Service

These terms govern the use of the Billoop Shopify application (the "Service") operated by Westpoint ("we"). By installing the Service, the merchant ("you") accepts these terms.
1. Service
Billoop is a Shopify app that automatically generates Factur-X electronic invoices (PDF/A-3 + CII XML) from Shopify orders, archives them securely, and delivers them to buyers.
2. Account and installation
The Service is installed through the Shopify App Store and requires an active Shopify account. Authentication is handled by Shopify (OAuth).
3. Subscription and billing
The Service is offered as a monthly subscription billed through Shopify Billing. New merchants benefit from a free 7-day trial. Beyond that, the subscription is billed at the rate displayed in the App Store listing, until uninstall.
4. Cancellation
The subscription can be cancelled at any time by uninstalling the app from the Shopify admin. Uninstalling stops billing at the end of the current period.
5. Refunds
No refunds are due for an already-billed subscription period, except as required by Shopify's refund policy.
6. Merchant obligations
- Provide accurate fiscal information (legal name, VAT, SIREN/SIRET, address).
- Verify that generated invoices match the merchant's legal and fiscal obligations before transmission to buyers.
- Not use the Service for unlawful purposes.
7. Availability
We strive to keep the Service available 24/7 but no formal service-level agreement (SLA) is provided in this version. Maintenance windows are announced when feasible.
8. Limitation of liability
The Service is provided "as is". To the extent permitted by law, our liability is limited to the amounts paid by the merchant in the past 12 months. We are not liable for indirect losses, lost revenue or data. The merchant remains solely responsible for compliance with its tax obligations.
9. Intellectual property
The Service, its code, interfaces, and brand remain the exclusive property of Westpoint. Merchant data remains the merchant's property; the merchant grants us a limited licence to process it strictly as necessary to operate the Service.
10. Personal data
Personal data processing is described in the privacy policy. A Data Processing Agreement (DPA) is available on the DPA page.
11. Governing law
These terms are governed by French law. Any dispute will fall under the jurisdiction of the courts where Westpoint has its registered seat, after a prior amicable resolution attempt.
12. Changes
We may update these terms. Material changes will be notified to the merchant at least 30 days before they take effect.
